How does the secondary market of FundingPartner work?

The secondary market on the FundingPartner platform allows investors to trade loans with each other.

It functions like a digital bulletin board where sellers post loans for sale, and buyers can accept the offer. FundingPartner facilitates the trade and handles the settlement but is not a party to the trade itself.

PS! FundingPartner has two different secondary markets.

Here is the most important information you need to know about how the market works:

1. What can be traded?

Due to regulatory reasons, trading is currently only open for:

  • Swedish loans (SEK)

Trading in Norwegian loans (NOK) is currently not available.

Note: It is not possible to buy or sell loans that are in default or have delayed payments. If this occurs while a loan is listed for sale, the sales order will be automatically cancelled.

Don't see any loans in the list? To view loans listed for sale, you must have activated the relevant product (loans in SEK) on your user profile. You can do this under "Profile".

2. How do I sell a loan?

You can list a loan for sale via My Overview > Portfolio or directly from the loan page.

  • Pricing: You decide the price yourself. The price must be set between 80% and 101% of the par value.
  • Cost: A fee of 0.8% of the sales amount (minimum NOK 250) is deducted upon sale.
  • No negotiation: The loan is sold to the first buyer who accepts the price you have set. It is not possible for buyers to haggle or place bids.

3. How do I buy?

You buy by selecting a loan from the list of available items for sale.

  • Cost: There are no fees for buying loans.
  • Payment: Payment: If you have sufficient funds in your client account, the trade is executed immediately. If not, the loan is reserved for you with a 1-day payment deadline. If you do not pay within the deadline, the reservation is cancelled. Please note that the amount is an estimate because accrued interest is calculated on a daily basis and may change before the transaction is completed. The transaction itself is binding and irreversible from the moment you confirm the purchase.
  • Accrued interest: In addition to the purchase price, you must pay the seller for the interest accrued since the last payment date (the owner of the loan always receives the full interest amount at the next payout; therefore, the buyer must compensate the seller for the days the seller has owned the loan during the current period).

4. Important regarding pricing and risk

Price: FundingPartner makes no assessment of the price set on loans in the secondary market. The price is determined exclusively by the seller.

As a buyer, you must assess whether the price is right for you, based on the loan's risk and remaining term.

Liquidity: Although the secondary market exists, high trading activity is not guaranteed. You should be prepared to hold the loan until maturity. If you wish to sell quickly, you may have to sell at a discounted price.

5. How is the settlement handled?

When a trade is completed, both the buyer and seller receive a contract note (trade confirmation).

  1. The buyer transfers funds (purchase price + accrued interest).
  2. FundingPartner ensures ownership is transferred from seller to buyer.
  3. The seller receives the settlement minus the sales fee.

After the transfer, the buyer will receive all future interest payments and installments directly to their account on the platform.
